Jeffrey S. Davis is a partner in the firm’s Corporate Group with over two decades of experience representing companies, private equity firms, family businesses, startup ventures, and entrepreneurs in complex business transactions and other legal matters. He advises clients across the full business lifecycle: from entity choice and formation, through organic and inorganic company growth, to succession and exit planning.

Jeff has significant experience with mergers and acquisitions, equity and debt financings, and joint ventures and other strategic partnerships, along with drafting and negotiating a wide range of sophisticated business contracts and operative company agreements including operating and shareholder agreements. His practice spans a broad range of industries, including consumer products, technology, software, healthcare, and manufacturing. Clients regularly rely on him for day-to-day general counseling, including advising on governance and securities law matters.

• A publicly held global provider of detection, measurement, analysis, and monitoring solutions and technologies to the medical, nuclear, defense, and research end markets in several acquisitions, including a $55 million stock acquisition of a leading provider of medical imaging and radiation therapy phantoms serving the medical industry
• A healthcare-focused digital marketing agency in its sale to the largest global collective of communications companies
• An information technology company in an asset-based loan facility from a major bank
• An investor in an acquisition of a majority ownership interest in a major regional food distributor and capital investment
• A private equity firm and certain members of company management in connection with a recapitalization of a hospital management company including a Rule 144A offering and equity investment
